Welcome to CleanerLocator ("Company," "we," "our," "us"). These Terms of Use ("Terms") govern your use of our website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
CleanerLocator is a technology platform that connects homeowners and commercial clients ("Clients") with independent cleaning professionals ("Cleaners"). We are not a cleaning service provider, employment agency, or staffing company. Our role is limited to providing a marketplace where Clients and Cleaners can find each other and communicate. We do not supervise, direct, or control the work performed by Cleaners, and we are not responsible for the quality, safety, or legality of any services provided.
You must be at least 18 years old to use the Platform. By using the Platform, you represent that you have the legal capacity to enter into binding contracts and that you are not located in a country subject to U.S. trade sanctions. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business.
To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
CleanerLocator is not a party to any agreement between Clients and Cleaners. We do not endorse or guarantee any Cleaner's services. Clients are solely responsible for selecting Cleaners and for evaluating their suitability. Cleaners are solely responsible for performing services in a professional manner and complying with all applicable laws.
We may facilitate payments between Clients and Cleaners as a limited payment collection agent, but we are not a bank or money transmitter. We are not responsible for any disputes, damages, or losses arising from services provided by Cleaners.

Cleaners pay a monthly subscription fee of $9.99. We may introduce other fees (e.g., lead fees for commercial jobs) with notice. Clients pay no fees to use the Platform, but are responsible for paying Cleaners for services booked.
We use third-party payment processors to handle transactions. By making a payment, you agree to the processor's terms. We are not responsible for any errors or delays caused by payment processors.
Cancellation policies are displayed at booking. Refunds, if any, will be processed according to that policy. We may, at our discretion, issue refunds in case of disputes, but we have no obligation to do so.
The Platform and its content (excluding user content) are owned by CleanerLocator or its licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our written consent.
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless CleanerLocator, its affiliates, officers, directors, employees, agents, and successors (collectively, "Indemnified Parties") from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
The Indemnified Parties may, at their own expense, assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense. You may not settle any claim without our prior written consent.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE PLATFORM CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE INDEMNIFIED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.
CleanerLocator is not responsible for disputes between Users. You agree to first attempt to resolve disputes directly. We may, at our discretion, assist in facilitating communication, but we have no obligation to do so.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be determined by binding arbitration in the State of Delaware, before a single arbitrator. The arbitration shall be administered by the American Arbitration Association under its Commercial Arbitration Rules. You agree that, by agreeing to these Terms, you and CleanerLocator are each waiving the right to a trial by jury or to participate in a class action.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. You may terminate your account at any time by contacting us.
We may modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice. Your continued use after changes constitutes acceptance.
These Terms constitute the entire agreement between you and CleanerLocator. If any provision is found unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent. We may assign these Terms freely.
